Introduction

These EventsX User Terms (the “User Terms”) govern your access to and use of the online events platform provided via the website at eventsx.com (”EventsX”) by EventsX Ltd of EventsX Limited, Profile West Suite 2, Floor 1, 950 Great West Road, Brentford, England, TW8 9ES (“we”, “us”, or our”).
Read these User Terms carefully.

You confirm that you have read, understood and agree to be bound by these User Terms by clicking the “accept” button before being granted access to EventsX, or otherwise where you access or use EventsX, or you register an account with us. You and we will then enter into a legally binding contract (the "User Agreement"), consisting of these User Terms, which governs your use of EventsX.

Organizations and individuals who wish to host online events ("Events") can use EventsX as a virtual event hosting service. According to paragraph 3.1, we take the security of EventsX very seriously, and we've taken measures to protect your content and Contributions (as described below).

1. These terms apply to all EventsX users

Please Note:

The term "Host" was used in these terms. These are the organizations, companies, businesses, and individuals that use EventsX as a platform to host their events.

1.1. EventsX Users

These terms apply to two types of EventsX users:

  • Organizers”. If you are an Organizer, you are an individual, normally an employee, contractor or partner of a Host who is part of the team which helps the Host to manage, run and host Events. Organizers have special access privileges and are invited to access and use EventsX by a Host.

  • Participants”. If you attend an Event on EventsX, you are a Participant. Participants either have been invited to a specific event by a Host or have signed up for an EventsX account and attended events with their account details. In addition, Participants may be invited by the Host to speak at an Event, exhibit at an Event, or sponsor an Event.

You are referred to in these terms as a "User" or "EventsX User", unless otherwise specified.

1.2. Our role

It is the Host who organizes and administers events, not us. As a third party, we provide the platform for an Event to take place. Our responsibility and liability does not extend to:

  • Event cancellations by the Host, for any reason ;

  • how an Event is run and/or operated;

  • any activities carried out or content produced during an Event;

  • the conduct or Contributions (as defined below) of any other Users.

Complaints, issues and refunds

In case you have an issue regarding any of the above points, or if you have purchased a ticket for an Event and would like a refund, you should contact the Host, who is responsible for handling the matter.

We are only responsible for providing the technical capability for the Event to operate. Please contact us as set out below if you are experiencing technical difficulties with EventsX.

1.3. The Host’s responsibilities to you

Any Event is completely under the control of the Host. This includes control over any Users, the creation of Events and how they are configured, as well as which functionality and third-party integrations are used for each Event.

Any User may be denied access to Events and/or EventsX by the Host at any time.

The Host is solely responsible for:

  • informing you of any policies and practices of the Host that are relevant and apply to your use of EventsX outside of these User Terms;

  • responding to and resolving any dispute between the Host and you, or any dispute between you and any other User.

2. Right to use EventsX

2.1. License

To access and use EventsX, we grant you a license:

  • If you are an Organizer, either for the internal business purposes of the Host if the Host is a business, or, for your own personal purposes if the Host is an individual using EventsX in their personal capacity, including creating, coordinating, and hosting Events through EventsX; and

  • If you are a Participant, you may attend Events and act within any restrictions set by the Host, as per these User Terms.

2.2. License Restrictions

You agree that:

  • Unless we give prior written consent to you, you shall not rent, lease, sublicense, loan, provide, or otherwise make available, your right to use or access EventsX in any form, in whole or in part, to anyone except as permitted by these User Terms;

  • EventsX or any part of it may not be copied except when necessary for backup or operational security or as part of the normal use of EventsX;

  • The whole or any part of EventsX or any content on it may not be translated, merged, adapted, varied, altered, or modified, nor may it be combined with, or incorporated into, any other program, except to use EventsX as permitted under these User Terms;

  • Any attempt to disassemble, decompile, reverse engineer or create derivative works based on the whole or any part of EventsX or any contents thereon is prohibited, except to the extent permitted by law.

3. Uploading content to EventsX

In connection with your participation in an Event, you may submit content, information, and data, such as messages or files, to EventsX (“Contributions“).

3.1. Security measures

Contributions are protected against unauthorized copying and distribution by reasonable security measures. However, we do not guarantee that third parties will not copy, use, or distribute Contributions unauthorized by us. We will not be held liable for any unauthorized copying, use, or distribution of Contributions by third parties (including other Users) to the fullest extent allowed by applicable law. Contributions are protected by security measures that we use to protect them. These measures are provided and used "as-is" without warranty, guarantee, condition, assurance or other term that such security measures will resist attempts to circumvent them.

3.2. Sharing opinions of a political nature

You may share political opinions, participate in political activity, link to a political committee's official website, including its contribution page, and solicit contributions directly to a political committee in accordance with these User Terms and the Community Guidelines. However, you agree that these activities are your own. You also represent and warrant that by engaging in these activities, you are eligible to do so under applicable law, and that you will comply with all relevant laws and regulations.

3.3. Promotional activities

Any promotional or marketing activities you conduct on or through EventsX will be in accordance with any applicable advertising guidelines or laws. For example, if you have been paid or provided with free products in exchange for discussing or promoting a product or service through EventsX, or if you are an employee of a company and you decide to discuss or promote that company’s products or services on or using EventsX, you agree to comply with all applicable requirements for disclosing such relationships. You, and not us, are solely responsible for any endorsements or testimonials you make regarding any product or service through EventsX.

By using EventsX, you agree to disclose any relationships you have, for example, if you have been paid or provided free products in exchange for discussing or promoting a product or service, or if you are an employee of a company and you decide to promote its products or services on or through EventsX. Any endorsements or testimonials you provide about any product or service through EventsX are solely your responsibility, not ours.

You may promote, administer, or conduct a promotion on, through, or through EventsX (a "Promotion"). To promote, administer, or conduct a Promotion, you must follow the following rules: (a) Promotions may only be carried out to the extent permitted by law, and Promotions must comply with any and all applicable laws, obligations, and restrictions; (b) you will be responsible for all costs, expenses, and aspects of the Promotion in the applicable jurisdiction(s), including, without limitation, the execution, administration, and operation of the Promotion, selecting winners, issuing prizes, and obtaining all necessary third-party permissions and approvals. If we reasonably believe that your Promotion does not comply with these User Terms or applicable law, we may remove it from EventsX; (c) We are not responsible for, nor do we endorse or support any such Promotions. You will ensure that it is clear that the Promotion is yours and we are not sponsoring or co-sponsoring it.

3.4. Live streaming activities

If you stream live or pre-recorded audio-visual works, the rights granted by you hereunder terminate upon deletion of such Contributions from EventsX, or generally upon closing your account, with the following exceptions:

(a) to the extent you shared it with other Users as part of EventsX and those Users copied or stored portions of the Contributions in question;

(b) we used it for promotional purposes; and

(c) Until it has been removed from backups and other systems.

3.5. Personal data in Contributions

In the event that you are a Participant and your Contributions include personal information, we shall be the data controller, and we will handle your personal information in accordance with our privacy policy.

Any Contributions you make that include your personal data will be under the control of the Host, even if you are the Organizer. We will only be a data processor acting on behalf of the Host. Please contact the Host if you would like to exercise any of your legal rights regarding your personal data that may be held by us. We won't be able to respond directly to your request without first getting permission and instructions from the Host.

3.6. Where you are a Participant

You acknowledge that:

  • Participants, unless we agree otherwise in writing, agree that if you submit, transmit, display, perform, post, or store Contributions on or using EventsX, you grant us, and our sublicensees (including the Hosts), a perpetual, unrestricted, worldwide, irrevocable, fully sublicensable, non-exclusive, and royalty-free right to:

  • (a) use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Contributions in any form, format, media or media channels now known or later developed or discovered; and

  • (b) use the name, identity, likeness and voice (or other biographical information) that you submit in connection with such Contributions. Should such Contributions contain the name, identity, likeness and voice (or other biographical information) of third parties, you represent and warrant that you have obtained the appropriate consents and/or licenses for your use of such features and that we and our sub-licensees are allowed to use them to the extent indicated in these User Terms; and

  • the use described above will include a recording of you making any kind of Contribution and a licensee, such as a Host, subsequently sharing this recording with third parties.

3.7. Where you are an Organizer

The Host will own your Contributions. Your Contributions may be subject to selections and control by the Host under our contract with them, including the right to use, delete, or modify your Contributions.

4. Acceptable use restrictions

You must:

  • not use EventsX in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these terms, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, such as viruses, or harmful data, into EventsX or any operating system;

  • not infringe our intellectual property rights or those of any third party in relation to your use of EventsX, including by the submission of any material (to the extent that such use is not licensed by these User Terms);

  • not transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of EventsX;

  • not use EventsX in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users;

  • not collect or harvest any information or data from any aspect of EventsX or our systems or attempt to decipher any transmissions to or from the servers running EventsX;

  • not access, search or create accounts for EventsX by any means other than our publicly supported interfaces (e.g. “scraping” or creating accounts in bulk); and

  • not use contact or other user information obtained from EventsX (including email addresses) to contact other Users outside of EventsX without their express permission or authority, or to create or distribute mailing lists or other collections of contact or user profile information for other Users for use outside of EventsX.

5. Intellectual property rights

We (or our licensors) own all intellectual property rights in EventsX throughout the world, and you are licensed (not sold) the rights in EventsX. Other than the right to use it in accordance with these User Terms, you have no intellectual property rights in or over EventsX.

6. Our responsibility for loss or damage suffered by you

6.1. If we cause foreseeable loss and damage to you, we are responsible

In the event we breach these User Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or failure to use reasonable care and skill, but not for loss or damage that is not foreseeable. It is foreseeable that loss or damage will occur if either it is obvious that it will happen or if, at the time you accepted these User Terms, we both knew it might occur.

6.2. When it would be unlawful for us to do so, we do not exclude or limit our liability to you in any way

Liability includes death or personal injury caused by our negligence or that of our agents, subcontractors or employees, or that caused by fraud or fraudulent misrepresentation.

6.3. When we are liable for damage to your property

When we supply you with defective digital content that damages a device or digital content belonging to you, we repair the damage or compensate you. However, we will not be liable for damage you may have avoided had you adhered to our advice to apply a free update or damage you may have caused by not correctly following installation instructions or not meeting the minimum system requirements we recommend.

6.4. We do not accept liability for business losses

EventsX is intended for domestic and private use. EventsX will not be liable to you for any loss of profit, loss of business, business interruption, or loss of business opportunities if you use EventsX for commercial or business purposes.

6.5. Limitations to EventsX

The EventsX website is provided for informational and entertainment purposes only. It does not provide advice on which you should rely. Before taking any action based on the information provided by EventsX, you should obtain professional or specialist advice. We make no express or implied representations, warranties, or guarantees about the accuracy, completeness, or current status of such information.

6.6. Please back-up your content and data submitted to EventsX

Despite taking reasonable security measures as described in paragraph 3.1 to protect your content and data, we recommend that you backup any content and data associated with EventsX.

6.7. Ensure that EventsX is suitable for you

We have not designed EventsX to meet your individual needs. It is your responsibility to ensure that the features and facilities of EventsX meet your needs.

6.8. We are not responsible for events outside our control

If an event outside of our control causes a delay in the provision of EventsX or support for it, we will contact you to let you know as soon as possible and we will take measures to minimize the effect of the delay. If it is possible for us to inform you of the delay, we will not be liable for delays caused by the event, however if there is a substantial risk of delay, you may contact us to end your contract.

6.9. We have no responsibility for other websites linked to from EventsX

Occasionally, EventsX may contain links to independent websites not maintained by us. The content or privacy policies of these independent sites are not under our control, and we have not reviewed and approved their content. It is up to you whether you wish to use any such independent sites, including deciding whether to purchase any products or services offered by them.

6.10. We are not responsible for content provided by third parties

EventsX may also display or communicate content created by third parties (such as contributions from other Users). Such content is not under our control or endorsement, nor do we make any representations or warranties about its accuracy, completeness, or origin. No such content is created by us; no such content is monitored or moderated by us, and we are not responsible for doing so.

7. When your user agreement comes to an end

7.1. Duration of this User Agreement

This agreement will come to an end:

  • If you are an Organizer, on the Host’s subscription for your access expiring or terminating, or your access to EventsX being terminated by us;

  • If you are a Participant, when the Event ends, when you cancel your EventsX User account, or where we terminate your access to your EventsX User account.

7.2. When we can end the User Agreement and/or your right to use EventsX

EventsX can terminate this User Agreement and/or your right to access or use EventsX at any time, without notice, including if we reasonably believe:

(a) that your use of EventsX violates these User Terms or applicable law;

(b) that you fraudulently use(d) or misuse(d) EventsX; or

(c) that we are unable to continue providing EventsX to you due to technical or legitimate business reasons.

If we end your rights to use EventsX:

  • You must stop all activities authorized by these User Terms, including your use of EventsX.

  • You must delete or remove EventsX from all devices in your possession and immediately destroy all copies of EventsX that you have and confirm to us that you have done this.

  • If you are a Participant, when the Event ends, when you cancel your EventsX User account, or where we terminate your access to your EventsX User account.

8. Your privacy

8.1. Security limitations

Even if there is a special notice that a particular transmission is encrypted, please keep in mind that internet transmissions are never 100% private or secure, and that any message or information you send on or through EventsX may be read or intercepted by others.

8.2. We might collect technical data about your device

You agree that we can collect and use technical information about the devices you use EventsX on and related software, hardware, and peripherals to improve EventsX.

The location data sent from your devices will be used in certain aspects of EventsX. Turning off the location service settings for EventsX on your device allows you to turn off this functionality at any time.

9. Technical requirements

EventsX requires a device that can access the Internet, a website browser that has plugins enabling Flash technology, cookies, and JavaScript enabled, and an email account. A camera or microphone and a headset or loudspeaker must be turned on and not in use by another application in order for certain functionalities and features to work properly. We are not responsible for satisfying the foregoing requirements, and you acknowledge and agree that the quality of messages, information or files sent, posted, streamed, published or otherwise transmitted using EventsX may vary from the original file, in order to comply and adapt to standards of transferring data, connecting networks, devices or requirements of EventsX.

10. Other important terms

10.1. How to contact us

You can reach our customer service team at support@eventsx.com if you are experiencing any problems using EventsX.

When we need to get in touch with you, we will do so by email or a notification on EventsX, using the contact information you have provided.

10.2. Updates to EventsX

It is possible that we will automatically update and change EventsX from time to time to improve performance, enhance functionality, or address security concerns. Your continued use of EventsX following this update will be subject to these User Terms and will not require your consent.

10.3. If you don’t own the phone or device you are using

You must have permission from the owner of any phone, laptop, desktop or other device you use to stream EventsX. Whether or not you own the phone or other device, you are responsible for complying with these User Terms.

10.4. Changes to these User Terms

If we introduce new features or changes in law, these User Terms may need to be amended. You will be asked to accept the updated User Terms when you next use EventsX.

Your use of EventsX will be terminated if you do not accept the notified changes.

10.5. We may transfer this agreement to someone else

Our rights and obligations under these User Terms may be transferred to another organization. If this occurs, we will inform you in writing and ensure that the transfer does not affect your rights under these terms.

10.6. You need our approval to transfer your rights to someone else

Only if we agree in writing can you transfer your rights or obligations under these User Terms to another person.

10.7. If a court finds part of this agreement illegal, the rest will remain in force

Each paragraph of these User Terms operates independently. Even if any of them are ruled illegal by a court or relevant authority, the remaining paragraphs will remain valid.

10.8. If we delay in enforcing this agreement, we may still enforce it later

Despite our delay in enforcing this agreement, we can still enforce it later. If we don't insist right away that you perform the obligations under these User Terms, or if we delay taking action against you in relation to your breach of this agreement, that does not mean you will not have to perform these obligations, and it will not prevent us taking action against you at a later date.

10.9. Which laws apply to this contract and where you may bring legal proceedings

These terms are governed by the laws of England. You may bring legal proceedings in respect of the products in the courts of England.

Any other court of competent jurisdiction may also take proceedings against you, and the taking of proceedings in one or more jurisdictions does not preclude our taking proceedings in any other jurisdiction, whether concurrently or not, to the extent permitted by the law of such other jurisdictions.
